Terms of Service & End User License Agreement

1. Agreement and defined terms
These Terms of Service and End User License Agreement (“Terms”) are between you and the Exado service operator (“Exado,” “we,” “us”). “Service” means Exado’s websites, applications, portal, documentation, AI features and integrations. “Customer” means the organization that creates or administers a tenant. “User” means an individual who signs in or is invited to a tenant. By accessing or using the Service, you agree to these Terms. If you use it for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.
2. Eligibility and account responsibility
You must be legally able to enter a binding agreement and at least 18 years old to create an account. Provide accurate account details, protect your password and authenticator, keep recovery methods secure, and promptly tell Exado at info@exado.app about suspected account compromise. You are responsible for activity performed through your account except to the extent applicable law says otherwise. Customers are responsible for inviting appropriate people, promptly revoking access when it is no longer needed, and ensuring users have notice and authority to use the Service.
3. License and permitted use
Subject to these Terms and any applicable customer agreement, Exado grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization’s internal business purposes. You may not resell, sublicense, copy or modify the Service except as permitted by mandatory law; reverse engineer it except where that restriction is prohibited by law; bypass authentication or tenant boundaries; interfere with the Service; use it to develop or benchmark a competing service using non-public information; or use Exado’s marks without written permission.
4. Preview limitations and service changes
The current portal is a private preview and may change, be interrupted or be withdrawn. Unless Exado expressly confirms a feature is generally available in writing, the preview is not a production control plane. At the time of this version, external Microsoft, Jira and other customer-system integrations are not connected; portal approval records do not execute changes in external systems; and Mangi is not connected to a live generative AI service or external tools. Demo records are illustrative. Do not rely on the preview for production operations, security decisions, legal compliance, regulated workloads, emergency response or business continuity. No service level, recovery objective or support response time is promised unless a separate signed agreement says otherwise.
5. Customer content and data
You retain your rights in information and materials submitted to the Service (“Customer Content”). You grant Exado and its service providers a limited right to host, transmit, store, display and otherwise process Customer Content as reasonably necessary to provide, secure, maintain and support the Service, follow your documented instructions and comply with law. You represent that you have the rights, notices, authority and lawful basis needed to submit that content and direct Exado’s processing. You must not upload content that is unlawful, infringes others’ rights, or contains credentials, authentication secrets, payment-card data, health data, highly sensitive personal data or production customer data to the private preview. Customer Content remains subject to the Privacy Notice and any signed data-processing terms.
6. AI features and human approval
When AI features become available, they may use the prompt and context you choose to provide to draft plans, summaries or proposed work. AI output may be wrong, incomplete, biased, outdated or inappropriate. You must review it and independently confirm its accuracy and suitability. An AI suggestion is not professional legal, financial, medical, security or other advice. Exado’s product design requires human approval before an external write action; until a feature explicitly states it is active and shows the action and its effects, assume no external action will be executed. You remain responsible for authorizing any action and for maintaining appropriate human oversight.
7. Integrations and third-party services
Integrations may be governed by separate provider terms. Before connecting an external system, an administrator must authorize the requested scopes and confirm the relevant tenant. Customers are responsible for their third-party accounts, permissions, licenses and data accuracy. Exado will describe requested permissions and material data flows in the connection experience when integrations are launched. Exado is not responsible for third-party systems, their availability, actions taken outside Exado, or provider changes, subject to applicable law and any signed agreement.
8. Acceptable use and suspension
You must comply with the Exado Acceptable Use Policy and applicable law. Exado may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect users, customer data, security, legal rights or service integrity. Where practicable, Exado will notify the customer administrator and allow an opportunity to remedy the issue. Suspension does not remove obligations accrued before suspension. Exado may terminate a preview feature or account when the preview ends, subject to applicable law and any signed customer agreement.
9. Intellectual property and feedback
Exado and its licensors own the Service, software, design, documentation, Exado names and logos, and associated intellectual-property rights. Except for the limited license above, no rights are transferred to you. If you provide suggestions or feedback, you grant Exado a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without obligation, provided Exado does not disclose your confidential information or identify you as the source without permission.
10. Privacy, security and data processing
The Privacy Notice and Cookie Policy explain Exado’s handling of personal information and browser technologies. Where Exado processes personal information for a Customer, the parties may need a separate data-processing agreement that defines roles, instructions, security, subprocessors, assistance, breach notification, deletion and transfer terms. Customers must not put personal or sensitive data into the preview beyond what is necessary for authorized account setup.
11. Fees, beta access and availability
The current private preview is offered without a subscription fee unless Exado separately agrees otherwise in writing. Future paid plans, usage limits, billing, renewal and cancellation will be stated in an order form or plan terms before charges begin. Exado will not treat a preview account as authorization to charge for a later paid plan. Beta access may have reduced availability, incomplete functions and limited support.
12. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” during preview, without implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy or error-free operation. Exado does not warrant that AI output, workflow records or security features will meet your requirements or ensure legal compliance. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
13. Liability
To the maximum extent permitted by law, Exado will not be liable for indirect, incidental, special, punitive or consequential loss, loss of profits, revenues, goodwill, data or business interruption arising from preview use. To the maximum extent permitted by applicable law, Exado’s aggregate liability for claims relating to the free preview will not exceed the greater of the amount you paid Exado for the Service in the 12 months before the event or US $100. These limits do not apply to liability that may not lawfully be limited, including liability for fraud or willful misconduct where applicable. A signed customer agreement may replace these limits.
14. Changes, termination and data export
You may stop using the Service at any time. Exado may update these Terms and will change the effective date; material changes will be communicated where reasonably practicable. Continued use after the effective date means acceptance where legally permitted. At the end of preview or a customer relationship, Exado will handle Customer Content under the Privacy Notice and any signed agreement. 15. Governing law and contact
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules, and subject to mandatory consumer and data-protection rights. Subject to non-waivable jurisdiction rules, the competent courts in Tel Aviv–Yafo, Israel have jurisdiction.
